　　GENERAL CONDITIONS OF SALE

　　1. DEFINITIONS

　　The following words have the following meanings:

　　"Agreement" the agreement to which these conditions apply

　　and any appendices thereto;

　　“Buyer”

　　"Material"

　　“Seller” the buyer specified in the Agreement; the commodities specified in the Agreement; the seller specified in the Agreement.

　　2. DELIVERY, TITLE AND RISK

　　2.1 The 2000 edition of the International Chamber of Commerce official

　　rules for the interpretation of trade terms (Incoterms) are incorporated into the Agreement by reference.

　　2.2 The Material shall be delivered as specified in the Agreement.

　　2.3 Transfer of risk from Seller to Buyer shall be in accordance with the

　　relevant Incoterm.

　　3. BANK CHARGES

　　3.1 All bank charges for the opening of the L/C shall be for Buyer’s

　　account, and all other bank charges shall be for Seller’s account.

　　4. FORCE MAJEURE

　　4.1 Neither party to this contract shall be liable for any delay in performing

　　or failure to perform its obligations due to events of Force Majeure including but not limited to war, blockade, revolution, riot insurrection,

　　civil commotion, strike, lockout, explosion, fire, flood, storm, tempest, earthquake, regulations or orders, including but not limited to prohibition of export or import and/or any other cause or causes beyond reasonable control of the Seller or the Buyer and/or Buyer’s receiver whether or not similar to the causes enumerated above. Failure to deliver or to accept delivery in whole or in part because of the occurrence of an event of Force Majeure shall not constitute a default hereunder or subject either party to liability for any resulting loss or damage.

　　Upon the occurrence of any event of Force Majeure, the party affected by the event of Force Majeure shall within 72 (seventy two) hours of occurrence notify the other party hereto in writing of such event and shall specify in reasonable detail the facts constituting such event of Force Majeure. Where such notice is not given within the time required, Force Majeure shall not justify the non-fulfillment of any obligations under this contract.

　　Both parties agree to use their respective reasonable efforts to cure any event of Force Majeure to the extent that it is reasonably possible to do so.

　　4.2 In the event of Force Majeure preventing the Seller from shipping or

　　delivering the material, or preventing the Buyer from accepting such material, respectively, deliveries shall be suspended for the duration of such Force Majeure event but if such Force Majeure shall last more than 90 (ninety) calendar days, the tonnage involved may be cancelled with immediate effect by the party not having declared Force Majeure by written notice to the other party.

　　5. DEFAULT – REMEDIES

　　5.1 Delay for opening of L/C

　　In the event Buyer due to reasons within its responsibility fails to open the Letter of Credit on time as stipulated in this Contract, unless the parties agreed on a grace period, Buyer shall pay a penalty to Seller

　　篇二：电解镍

　　1. 什么是电解镍？

　　电解镍是使用电解法制成的镍。将富集的硫化物矿焙烧成氧化物，用炭还原成粗镍，再经电解得纯金属镍。在化学工业中镍用作加氢反应的催化剂。电镀镍是在指在电场的作用下使离子发生定向迁移沉积成镀层的过程。有良好的导电性，颜色是黑灰色。镀液除了主盐等主要成分外还要加各种电镀添加剂和各种助剂，主要是使镀层出光，整平，细化结晶，防止针孔，促进阴极极化。电解镍主要用于原子能工业、碱性蓄电池、电工合金、高温高强度合金、催化剂以及粉末冶金添加剂冶金、金刚石工具、非铁基合金、也可以做化学反应的加氢催化剂等。包装采用真空袋装，外用铁桶包装。

　　二、中国电解镍市场概况 1、我国镍资源量分布

　　中国国土资源部的最新数据，中国的镍储量为299万吨，占全球总量6900万吨的4.2%，位居世界第9位。

　　硫化铜镍矿约占总储量的`91%，其余为氧化矿。80%的硫化镍矿产于甘肃的金川铜镍矿床；中国氧化镍矿主要分布在四川西南部攀枝花地区以及云南元江地区

　　2、中国原生镍需求

　　2007年以来，中国的镍需求量已经上升为世界首位。中国在2010年的镍消费量达到54万吨的水平。但是自给率水平低，基本维持在50%左右。意味着中国市场五成的镍需要进口。

　　导致这一现象的原因主要是占镍消费66%的不锈钢，产量增长过快。 3、中国镍市场的供需状况

　　根据CRU英国商品研究局的数据2010世界原生镍产量为140.9万吨，中国产量为31.37万吨，约占全球产量的22.26%，俄罗斯产量为25.85万吨，约占全球产量的18.34%。中国已经超过俄罗斯成为全球第一大原生镍生产国。 4、我国电解镍产量

　　2006年以前我国原生镍的产量基本以电解镍为主，06年以后随着我国不锈钢产能产量开始急剧扩张，对镍的需求也越来越大，不但需要大量进口，由民营企业开始，大量使用红土镍矿冶炼含镍生铁，作为生产不锈钢的原料。 5、我国电解镍消费量和进出口

　　This Sale-Purchase Agreement Contract SPAC is entered into this day of2008, between our Principal the Seller and Buyer as follows:

COMPANY LIMITED hereinafter referred to as the Seller and who with full legal and corporate responsibility, warrant that they have reliable sources under legal authority from the rightful owners of a specified quantity and quality of Copper Cathode Plates and hereby agree to sell to the BUYER hereto the aforesaid quantity and quality of Copper Cathode Plates:

　　Packing: Pallet bounded by metal straps and loaded into 20ft container

　　3.0 QUANTITY

　　Both Parties hereby agree that the Total Quantity of Copper Cathode Plates under the SPAC shall be1000MT/- 5% spot shipment based on ex-warehouse basis Hong Kong Port. Weight for invoicing purposes shall be by the actual net weight.

　　3.0 数量

　　双方同意合同总数量为1000公吨，总数量偏差上下不超过5%，在卖方香港仓库交货。发票金额按实际数量计算。

　　4.0DELIVERY

　　Stock is available from open warehouse in Hong Kong Port and Buyer will be notified 2 two days in advance to come for inspection and payment.

　　The Goods will be packed in 20 footer containers in a way that guarantees safety of the Copper Cathodes during transportation and which the Seller warrants are of an acceptable standard to itself.

　　4.0 交货

　　这现货即可在香港码头公開仓库运作。卖方会于两天前会通知买方验货与付款。货品是打包装在20呎货柜内，这是保证电解铜在运送中的安全方式，同时亦是卖方保证可以接受的标准。

　　5.0PRICE

　　Both Parties hereby agree to the following Price Structure:

　　USD per metric ton ex warehouse Hong Kong Port

　　每公吨美元FOB香港。6.0 PAYMENT TERMS

　　Payment will be by bank draft, cashier’s order or TT. Payment instrument must be confirmed received in Seller’s account before copper can be delivered or taken out of warehouse.

　　6.0付款方式

　　付款方式为银行本票,现金汇票或电汇现金,电解铜交货或移出仓库前卖方必需确认银行已收到货款指示。

　　7.0 INSPECTION

　　SGS inspection certificate will be provided to Buyer. Inspection is conducted during the transfer from the Bonded Warehouse to the Open Warehouse.

　　The weighing and sampling shall be carried out by SGS in accordance with standard and customary international practices.

　　7.0检验

　　SGS的检验報告會提供給買方，从保税仓库移至公开仓库检验已处理。重量与取样由SGS按照国际惯例执行。

　　Quantity Inspection:

　　The net weight assayed by SGS shall the quantity accepted by both Parties for invoice and payment.

　　双方接受数量以SGS检验报告做为付款的发票。

　　Quality Inspection:

　　This SGS certificate of Inspection shall confirm that the product is Copper Cathode Cu99.99%, not less than 99.96%.The Buyer shall have the right to reject the
